01About these Terms
These Terms of Service ("Terms") are an agreement between you and Janak Prajapati, a sole proprietor trading as Closign, Ahmedabad, Gujarat, India ("Closign", "we", "us"). They cover your use of closign.io, our apps, APIs and emails (the "Service").
By creating an account, sending a document, or signing a document through Closign, you agree to these Terms and to our Privacy Policy. If you use Closign for a company or other organisation, you confirm that you can bind it, and "you" includes that organisation.
If you do not agree, do not use the Service.
Key terms used here
- Account holder: someone with a Closign account who uploads, prepares or sends documents.
- Signer: anyone who receives a link to view, fill or sign a document. Signers do not need an account.
- Workspace: a shared space where an account holder's team works on documents.
- Your Content: documents, templates, signatures, field data and other material you or your signers put into Closign.
02Eligibility and accounts
- You must be at least 18 and legally able to enter into a contract.
- Give accurate sign-up details and keep them up to date.
- Keep your password and login codes private. You are responsible for everything done through your account and workspace, including by team members you invite.
- Tell us right away at support@closign.io if you think someone has accessed your account without permission.
- Workspace owners control who can join a workspace, what they can see, and what happens to its documents.
03The Service and legal validity
Closign lets you upload or create documents, place fields, send them to signers in a set order, verify signers with a one-time code sent to their email, collect electronic signatures, and download a signed PDF with an audit certificate.
Closign is a tool, not a party to your documents. We do not check whether a document is lawful, fair, complete or enforceable, and we do not give legal advice. Any contract is between you and the other parties.
You decide whether e-signing is right for a document. Electronic agreements are widely recognised, for example under India's Information Technology Act, 2000 and, in the US, the ESIGN Act and state UETA laws. But some documents cannot be signed electronically, or need a specific type of signature, witness, notarisation or registration. In India these include:
- wills and other testamentary documents;
- powers of attorney;
- trust deeds;
- contracts for the sale or transfer of immovable property;
- negotiable instruments such as promissory notes and bills of exchange (other than cheques).
Similar exclusions exist in other countries. Do not use Closign for these documents unless the law where you are allows it.
Signature type. Closign provides electronic signatures with one-time code verification and an audit trail. It does not yet provide Aadhaar eSign or certificate-based digital signatures. If a law or the other party requires those, use a service that provides them.
Stamp duty and registration. You are responsible for paying any stamp duty and completing any registration a document needs. Closign does not currently collect or pay stamp duty.
04Acceptable use
You must not use Closign to:
- send documents that are illegal, fraudulent, or meant to deceive or pressure someone into signing;
- impersonate anyone, sign on someone else's behalf without their authority, or forge a signature;
- send spam, phishing or unsolicited bulk signing requests;
- upload malware or content that infringes someone else's rights;
- try to break, overload, scrape or reverse-engineer the Service, or get around plan limits or security controls;
- resell or white-label the Service without our written permission;
- process data you have no right to share.
You are responsible for having the right to send each document and for getting any consent your signers need, including consent to sign electronically where the law requires it. Each signer is asked to agree to sign electronically before signing, and that agreement is recorded in the audit trail.
We may remove content or suspend accounts that break these rules (see section 8).
05Your content and data
You own Your Content. We claim no ownership of your documents, templates or signatures.
You give us permission to handle it. You grant us a limited, worldwide, royalty-free licence to host, copy, process, display and send Your Content, only as needed to run the Service for you, keep it secure, and meet legal duties. This licence ends when Your Content is deleted from our systems, except for audit records we must keep.
Audit trails. Each completed document comes with an audit certificate recording who viewed and signed it, when, and from what IP address and device. We may keep audit trails after you delete a document so that signatures can be proven if they are disputed. See the retention section of our Privacy Policy.
Privacy. Our Privacy Policy explains how we handle personal data. When you add signers' details or documents with personal data, you act as the controller and we act as your processor. If you need a Data Processing Agreement, ask us at support@closign.io.
Backups are your job too. Download the signed copies you need. We take reasonable care, but you should keep your own records.
06AI features
Closign offers optional AI tools, such as drafting a document from a description and suggesting where to place fields.
- AI output can be wrong. It may miss clauses, include errors, or put fields in the wrong place. Review and edit everything before sending.
- It is not legal advice. AI-drafted documents are starting points, not reviewed contracts. For anything important, have a lawyer check it.
- You are responsible for what you send, whether you or the AI wrote it.
- We do not train AI models on Your Content without your separate, explicit permission. How AI requests are processed is described in our Privacy Policy.
- We may change, limit or remove AI features, including usage limits per plan.
07Plans, billing and refunds
Plans. Closign offers a free plan and paid subscription plans. Each plan has its own features and limits, such as documents per month, team members and AI usage, as shown on our pricing page.
Fair use. "Unlimited documents" on paid plans means normal use by the people in your workspace, not bulk or automated sending. If a workspace sends far more than usual (around 500 documents per user in a month), we may pause new sends and contact you to agree on the right plan. Documents already sent keep working.
Billing and renewal. Paid plans are billed in advance, monthly or yearly. They renew automatically at the end of each period until you cancel. In India, automatic renewals follow the payment mandate you approve with your bank or card issuer.
Taxes. Prices do not include taxes unless stated. We add GST or other applicable taxes. If you are a business, you can add your GSTIN to get a tax invoice.
Cancelling. You can cancel any time from your billing settings. Your plan stays active until the end of the period you paid for, then moves to the free plan.
Refunds. You can get a full refund within 7 days of your first paid subscription. Other payments are non-refundable, except where the law requires a refund. We do not refund partial months or unused documents. Details are in our Refund & Cancellation Policy.
Failed payments. If a payment fails, we will try again and let you know. If it still fails after 7 days, we may move your workspace to the free plan. Documents already sent will still be available.
Price changes. We will email you before a price change affects you. The new price applies from your next renewal; if you do not agree, cancel before then.
Upgrades and downgrades. Upgrades take effect right away and may be charged pro rata. Downgrades take effect at the next renewal. If you exceed the new plan's limits, some features may be restricted until you are back within them.
08Availability, suspension and termination
Availability. We aim to keep Closign running at all times, but we do not guarantee it will be uninterrupted or error-free. We may pause it for maintenance, ideally with notice. We may add, change or remove features. If we remove a major paid feature, you can cancel and we will refund the unused part of your current period.
Third-party services. Closign relies on providers for hosting, email, payments and AI. Their outages may affect the Service, and we are not responsible for them.
You can leave any time by closing your account in your profile settings. Download your signed documents first.
We may suspend or close your account if you break these Terms, do not pay, put the Service or other users at risk, or if the law requires it. Where reasonable, we will warn you first and give you a chance to fix the problem. We may act immediately for fraud, security threats or illegal activity.
After closure. You will have 30 days to export your documents, unless the closure was due to illegal activity. After that, we delete Your Content as described in the Privacy Policy, except audit records and anything we must keep by law. Sections that by their nature should continue, such as payment owed, disclaimers, limits of liability, indemnity and governing law, still apply after closure.
09Our rights, disclaimers and liability
Our intellectual property. Closign's software, design, name, logo and built-in templates belong to us. You may use them only to use the Service. Built-in templates are samples; adapt them and check them for your situation. If you send us feedback or ideas, we may use them freely.
Disclaimer. The Service, templates and AI features are provided "as is" and "as available". To the extent the law allows, we make no promises that the Service will meet your needs, that any document will be legally enforceable, or that the Service will be free of errors.
Limitation of liability. To the extent the law allows:
- we are not liable for indirect or consequential losses, such as lost profits, revenue, data, business or goodwill, or for losses caused by a document's content or by another party to it;
- our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or INR 5,000.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for deliberate misconduct.
10Indemnity, governing law and disputes
Indemnity. If someone brings a claim against us because of Your Content, your documents, your breach of these Terms, or your breach of law, you will cover our reasonable losses and costs from that claim, including legal fees. We will tell you about the claim promptly and let you help defend it.
Governing law. These Terms are governed by the laws of India.
Resolving disputes. Please contact us first at support@closign.io; most issues can be settled that way. If a dispute is not resolved within 30 days, it will be referred to arbitration by a sole arbitrator appointed by mutual agreement under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Ahmedabad, and the language will be English. Subject to this, the courts at Ahmedabad, Gujarat have exclusive jurisdiction.
Consumers. If you use Closign as a consumer, you keep any rights that the consumer law of your country gives you, and nothing in this section takes them away.
11Changes, general terms and contact
Changes to these Terms. We may update these Terms as the Service or the law changes. We will post the new version with a new date. For significant changes, we will email account holders at least 15 days before they take effect. If you keep using Closign after that, you accept the new Terms. If you do not agree, you can close your account.
General
- These Terms, the Privacy Policy and any plan or order details form the whole agreement between you and us.
- If any part is found unenforceable, the rest still applies.
- If we do not enforce a right straight away, we have not given it up.
- You may not transfer these Terms without our consent. We may transfer them to a company that takes over Closign, including a company we form to run it.
- Neither of us is responsible for delays caused by events outside reasonable control, such as outages, natural disasters or government action.
- We may send you notices by email or in the app. Send notices to us at the email below.
