“Confidential Information” means any business, technical, financial or other information disclosed by one party to the other, in any form, that is marked confidential or that a reasonable person would understand to be confidential. It does not include information that:
(a) is or becomes public other than through a breach of this Agreement;
(b) the recipient already lawfully knew;
(c) the recipient receives lawfully from a third party without a duty of confidence; or
(d) the recipient develops independently.
2. ObligationsThe recipient shall use Confidential Information only for the Purpose, disclose it only to its employees, officers and advisers who need to know it for the Purpose and are bound by similar duties, and protect it with at least reasonable care.
